1. Introduction and Acceptance of Terms

These Terms of Service (the "Terms") are a legally binding agreement between you ("you" or the "User") and MoyoPal Limited ("MoyoPal", "we", "our" or "us"), governing your access to and use of the MoyoPal platform and related services (the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service. We may update or modify these Terms from time to time. When changes are made, we will notify you by posting the revised Terms on our website or by other reasonable means. The revised Terms will become effective upon posting unless otherwise stated. Your continued use of the Service after any changes are posted will constitute your acceptance of the updated Terms.

2. Eligibility and Registration

Age: MoyoPal is intended for individuals who are legal age in the indivdual's jurisdiction, if under this age you must have the consent of a parent or guardian to use our services.

Children: The Service is not intended for children under 13. If you are between 13 and 17 years old, you may use the Service only with the consent and supervision of a parent or legal guardian. Users under 18 represent and warrant that they have such consent. If we become aware that a user is under 13, we will terminate the account and delete any personal data.

Account Information: You agree to provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

3. Privacy and Data Protection

Data Protection Compliance: We will process your personal data in accordance with the UK Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR). By using the Service, you consent to the collection, processing, and storage of your personal data as described in these Terms and our Privacy Policy. 4. AI Services and Mental Health Disclaimer

Nature of Service: The Service provides an AI-powered chatbot designed to offer support and guidance. The responses generated by the AI are based on machine algorithms and data, and do not constitute professional medical, legal, psychological, or mental health advice. The AI may not always produce completely accurate, complete, or contextually appropriate responses.

No Substitute for Professional Advice: The content and advice provided by the Service are for informational and general support purposes only. They are not a substitute for advice from qualified health professionals, therapists, or counsellors. You should not rely solely on the Service for diagnosing, treating, or managing any medical or mental health condition. If you have any specific concerns or questions about your health or well-being, please consult a qualified professional.

Limitations of AI: We do not guarantee the accuracy, completeness, or reliability of any information or advice provided by the Service. You acknowledge that your use of the Service and any reliance on its content are at your own risk. MoyoPal is not responsible for any decisions or actions you take based on the AI's output.

Crisis Situations: If you are experiencing an emergency or crisis (such as thoughts of self-harm, feeling unsafe, or any situation requiring immediate assistance), do not use the Service as a substitute for emergency services or professional help. In such situations, please contact the appropriate emergency services (for example, by calling 999 in the UK) or seek help from a qualified mental health professional immediately.

5. User Responsibilities

Lawful Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall comply with all applicable laws and regulations (including data protection laws, privacy laws, and any professional regulations) when using the Service.

Prohibited Conduct: You must not:

  • use the Service in any way that violates any applicable law, regulation, or the rights of others;
  • attempt to gain unauthorized access to any part of the Service or its related systems;
  • use the Service to harass, abuse, defame, threaten, stalk, or otherwise infringe upon the rights of others;
  • post or transmit any unlawful, harmful, abusive, defamatory, obscene, hateful, racially or ethnically offensive, violent, or otherwise objectionable content;
  • engage in any form of spamming, phishing, or other unsolicited advertising or messaging;
  • impersonate another person or falsely state or misrepresent your affiliation with any person or entity;
  • upload or distribute viruses, worms, or other malicious code or software that may disrupt or interfere with the Service;
  • remove or alter any copyright, trademark, or other proprietary notices from materials obtained through the Service; or
  • encourage or assist any third party to do any of the foregoing.

Account Security: You are responsible for maintaining the confidentiality of your account credentials (such as username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach. MoyoPal is not responsible for any loss or damage arising from your failure to comply with this requirement.

Accurate Information: You agree to provide true, accurate, current, and complete information when using the Service. You agree to keep this information up to date. Providing false or misleading information may result in the suspension or termination of your account or access to the Service.

6. User Content and Licence

Ownership of User Content: You retain ownership of any content (such as text, messages, or other materials) that you upload, post, or otherwise submit to the Service ("User Content"). You are solely responsible for your User Content and the consequences of sharing it.

User Content Licence: By submitting User Content to the Service, you grant MoyoPal a worldwide, non-exclusive, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content as necessary to provide and improve the Service and as otherwise described in these Terms. This licence is granted solely for the purpose of operating the Service and fulfilling our obligations under these Terms. Your User Content remains your property under copyright or other intellectual property laws.

User Content Obligations: You represent and warrant that you have all necessary rights, licenses, consents, and permissions to grant the above licence and that your User Content does not violate any law or infringe the rights of any third party. You further acknowledge that we are not responsible for the legality, reliability, or accuracy of your User Content.

Removal of Content: MoyoPal reserves the right, but is not obligated, to review, monitor, or remove any User Content that, in our sole discretion, violates these Terms or is otherwise objectionable, inappropriate, or unlawful, without notice. We may also remove or disable access to any content that is unlawful or infringes another's rights, and we may cooperate with law enforcement authorities in the investigation of suspected unlawful activity.

GDPR Data Rights: You have the right to withdraw consent for processing of your personal data at any time. You may request deletion of your personal data or User Content by contacting us at privacy@moyopal.io. We will act on such requests in accordance with applicable law. Please note that if you request deletion of your data or account, certain information may remain in our records to the extent required by law or for legitimate business purposes (such as fraud prevention or complying with our legal obligations).

7. Intellectual Property

Service Content: All intellectual property rights in the Service and its content (including without limitation text, graphics, logos, designs, software, source code, and any other materials) are owned by MoyoPal or its licensors. Such content is protected by copyright, design rights, trademarks, trade secrets, or other proprietary rights. You are not permitted to copy, reproduce, republish, modify, distribute, or exploit any content from the Service without the express written permission of MoyoPal or the relevant rights holder.

Trademarks: "MoyoPal", the MoyoPal logo, and any other trademarks, service marks, or trade names appearing on the Service are registered or unregistered trademarks of MoyoPal Ltd or its affiliates. You may not use any of MoyoPal's trademarks or logos without our prior written consent, except as necessary to identify the Service as provided by us.

Feedback: If you provide any feedback or suggestions regarding the Service, you hereby assign to MoyoPal all rights in such feedback and suggestions, and MoyoPal shall have the right to use and exploit them for any purpose without any obligation or compensation to you.

8. Termination

Termination by MoyoPal: We may suspend or terminate your access to the Service at any time, with or without cause, and without prior notice, subject to applicable law. Examples of grounds for termination include your violation of these Terms or any applicable law, or actions that may harm MoyoPal or other users.

Termination by You: You may terminate these Terms by deleting your account and discontinuing use of the Service at any time. If you wish to close your account, you may do so through your account settings or by contacting us for assistance.

Effects of Termination: Upon suspension or termination of your account:

  • Your right to access and use the Service will immediately end.
  • MoyoPal may delete or deactivate your account and all related data in our systems, subject to our legal retention obligations.
  • Any licences you have granted to MoyoPal with respect to your User Content will terminate. However, MoyoPal may retain and continue to use any anonymised or aggregated information derived from the Service (which does not identify you personally).
  • Sections of these Terms which by their nature should survive termination (including provisions on Privacy, Intellectual Property, Disclaimer, Limitation of Liability, and Governing Law and Jurisdiction) will remain in effect.

Outstanding Obligations: Termination of your use of the Service will not affect any rights or obligations that arose prior to termination. In particular, any obligations you had (such as payment obligations, if applicable) will survive termination.

9. Limitation of Liability

Disclaimer of Warranties: The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MoyoPal disclaims all warranties, whether express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. MoyoPal does not guarantee that the Service will be uninterrupted, secure, error-free, or meet your specific requirements. We do not warrant the accuracy or completeness of any information provided by the Service.

Limitation of Liability: To the maximum extent permitted by law, neither MoyoPal nor its officers, directors, employees, agents, or affiliates shall be liable for any indirect, incidental, special, consequential, or punitive damages (including, but not limited to, loss of profits, loss of data, loss of use, or loss of business opportunity) arising out of or in connection with your use of or inability to use the Service, whether based in contract, tort (including negligence), or otherwise, even if MoyoPal has been advised of the possibility of such damages. Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the maximum extent permitted by applicable law. Nothing in these Terms shall limit or exclude liability for death or personal injury caused by our negligence, fraud, or any other liability which cannot be excluded by law.

Force Majeure: MoyoPal shall not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labour disputes, governmental orders, epidemics, natural disasters, or failures of telecommunication or internet services.

Third-Party Content: The Service may contain links to third-party websites or resources. MoyoPal is not responsible for the availability or content of such third-party sites, and we do not endorse and are not liable for any materials, products, or services on or available from such sites. Any dealings you have with third parties through the Service are solely between you and the third party, and MoyoPal does not assume any liability for them.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms (including any question regarding their existence, validity, or termination) shall be subject to the exclusive jurisdiction of the courts of England and Wales.
